GROUP 2: ORLEN S.A. (WSE: PKN)
Micro-Exercise 2: The Industrial "Asset-Heavy" Powerhouse (IAS 16 Property, Plant & Equipment)
THE STORY BEHIND THE NUMBERS: Financing an Industrial Energy Transition (Page 6 of Report)
In Module 3, Team 2 saw that ORLEN owns a massive PLN 265,048 million Balance Sheet, dominated by physical refineries, petrochemical complexes, and power grids. Now, turn to Page 6 of the ORLEN 2025 Consolidated Financial Statements PDF (EQUITY AND LIABILITIES) to see how an industrial conglomerate structures its capital on the Right Side of the Balance Sheet!
1. Passing the 1:1 Golden Rule of Financing (55% Equity vs. 45% Debt -> KW/KO = 120%):
The textbook Golden Rule of Financing (1:1) requires Shareholders' Equity (KW) to be at least equal to Total Debt (KO), meaning KW / KO >= 100% (at least 50% Equity in the Balance Sheet). At the end of 2025, ORLEN's Total Equity stood at PLN 144,543 million (54.5% -> 55% of Total Assets, driven by PLN 92,597 million in Retained earnings), while Total Liabilities (KO) stood at PLN 120,505 million (45.5% -> 45% of Total Assets). Dividing Equity by Total Debt gives 119.9% (120%) -- meaning ORLEN comfortably passes both the Golden Rule (target >= 100%) and Silver Rule (target >= 50%) of Financing!
2. Inside ORLEN's Debt & Permanent Capital Fortress (KS = 77%):
Why does ORLEN carry PLN 120,505 million in Liabilities alongside its Equity? Because capital-intensive energy companies use long-term debt (Green Eurobonds, project finance, and long-term leases) to finance 40-year offshore wind farms and power grids while benefiting from the interest tax shield. Look inside ORLEN's liabilities: Non-current liabilities (ZD) reach PLN 60,333 million (half of all debt!), including long-term borrowings and bonds (PLN 23,657M), long-term lease liabilities (PLN 10,867M), and environmental/decommissioning provisions (PLN 12,051M). When we combine Total Equity (PLN 144,543M) with Non-current liabilities (PLN 60,333M), ORLEN's Permanent Capital (KS = KW + ZD) reaches PLN 204,876 million -- meaning 77.3% (77%) of the entire group is funded by stable, long-term capital!
📋 WORKFLOW FOR TEAMS 1–5: Paper First, Screen Second!
Use your printed paper worksheet as a scratchpad to extract the Y2024 figures from the PDF report and calculate your ratios. Once you have written down and rounded your answers on paper (whole numbers only, no decimals!), transfer them into the interactive online form below and click Check until every box turns 100% Green! Keep your paper worksheet ready for our live classroom comparison!
Goal: Analyze the right-hand side of ORLEN's Balance Sheet (Equity & Liabilities): check horizontal equity change YoY, vertical capital structure (Equity vs. Debt and Permanent Capital), and test the Golden Rule (1:1, KW/KO >= 100%) and Silver Rule of Financing (1:2, KW/KO >= 50%).
Worked Example: Step-by-Step for 2024 (Page 6 of the PDF)
STEP 0: OBTAIN THE ANNUAL REPORT HERE
STEP 1: Find 4 numbers on the Equity & Liabilities side in 2024 (in PLN million, 31/12/2024 restated column on Page 6):
[A] TOTAL EQUITY AND LIABILITIES (Page 6, bottom row): 255,395
[B] TOTAL EQUITY - KW (Page 6, middle section): 146,750
[C] TOTAL LIABILITIES / DEBT - KO (Page 6, lower subtotal, or [A] minus [B]): 108,645
[D] NON-CURRENT LIABILITIES - ZD (Page 6, lower section subtotal): 48,324
STEP 2: How the 4 Key Capital Ratios are calculated (2024 Example):
1. Equity Growth YoY (%): Base Year (In 2025, you will compare 2025 Equity against 146,750).
2. Equity Share in Balance Sheet (%): ([B] / [A]) * 100% = (146,750 / 255,395) * 100% = 57.5% -> 57% (Debt Share = 43%).
3. Permanent Capital Share - KS (%): (([B] + [D]) / [A]) * 100% = ((146,750 + 48,324) / 255,395) * 100% = 76.4% -> 76% (76% of funding is stable long-term capital!).
4. Golden (>=100%) & Silver (>=50%) Rule of Financing (KW / KO): ([B] / [C]) * 100% = (146,750 / 108,645) * 100% = 135.1% -> 135% -> PASSES BOTH GOLDEN & SILVER RULES!
Your Turn: Task for Team 2 (Calculate 2025!)
Look at the 31/12/2025 column on Page 6 and complete the exact same steps for 2025 (round percentages to whole numbers, no decimals):
STEP 1: Find the 4 numbers for 2025 (in PLN million):
[A] TOTAL EQUITY AND LIABILITIES (Page 6, bottom row) = ....................
[B] TOTAL EQUITY - KW (Page 6) = ....................
[C] TOTAL LIABILITIES / DEBT - KO (Page 6, Total liabilities, or [A] minus [B]) = ....................
[D] NON-CURRENT LIABILITIES - ZD (Page 6) = ....................
STEP 2: Calculate the 4 Key Ratios for 2025 (whole %, no decimals):
1. Equity Growth YoY (%) = (([B]_2025 - 146,750) / 146,750) * 100% = .......... %
2. Equity Share in Balance Sheet (%) = ([B]_2025 / [A]_2025) * 100% = .......... %
3. Permanent Capital Share - KS (%) = (([B]_2025 + [D]_2025) / [A]_2025) * 100% = .......... %
4. Equity-to-Debt Ratio (KW / KO %) = ([B]_2025 / [C]_2025) * 100% = .......... % (Passes Golden >=100% & Silver >=50%?)
